Terms of Service
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS AND EXCLUSIONS OF LIABILITY, RULES ABOUT PAID SUBSCRIPTIONS AND HOW YOUR UPLOADED VIDEO IS RETAINED OR REMOVED, REQUIREMENTS THAT APPLY WHEN AN ADULT CREATES OR MANAGES A PROFILE FOR A MINOR, AND THE LAW AND VENUE THAT GOVERN ANY DISPUTE.

MatScout (the “Service” or “MatScout”) is operated by MatScout LLC (“MatScout,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Colorado. These Terms of Service (“Terms”) are a binding legal agreement between you and MatScout governing your access to and use of the MatScout website at www.matscout.com, the MatScout mobile applications for iOS and Android, and all related features, content, and services (together, the “Site” and “Services”).
By creating an account, or by accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not access or use the Services. If you accept these Terms on behalf of a team, club, organization, or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
1. What MatScout Is
MatScout is a preparation system for grappling athletes, coaches, and clubs, including judo, Brazilian jiu-jitsu, and wrestling. Through the Services, registered users may:
- create and manage athlete profiles, disciplines, and promotion history;
- create match reports, scouting reports, and practice notes;
- upload video, or attach links to third-party video services such as YouTube;
- annotate uploaded video by tagging moments on the video timeline;
- share reports and video with coaches, teammates, and family members, and exchange comments on shared video;
- create and join teams and clubs, and manage team rosters and permissions;
- create and manage profiles for family members, including minor children, subject to Section 4 below;
- follow other users and receive notifications.
Certain features, described in Section 6, require a paid subscription.
MatScout provides tools for organizing and sharing training and competition information. We do not verify the accuracy of user-created content, and we are not responsible for how users evaluate opponents, athletes, or one another based on that content. MatScout is not a ranking service and does not publish competitive rankings.
2. Key Terms
“Member” means a person who completes MatScout’s account registration process.
“Content” means text, graphics, images, audio, video, data, and other materials.
“Member Content” means all Content a Member creates, uploads, posts, or otherwise makes available through the Services, including match reports, scouting reports, practice notes, athlete profiles, comments, video annotations, and uploaded video.
“MatScout Content” means all Content that MatScout makes available through the Services, excluding Member Content.
“Managed Profile” means a profile created and administered by an adult Member on behalf of another person, including a minor child, under Section 4.
3. Modification of These Terms
We may modify these Terms or the Services at any time. If we make material changes, we will post the updated Terms on the Site, update the “Last Updated” date above, and provide notice by email to the address associated with your account at least fourteen (14) days before the changes take effect, except where changes must take effect immediately for legal or security reasons.
Your continued use of the Services after changes take effect means you accept the modified Terms. If you do not agree, your recourse is to stop using the Services and, if applicable, cancel your subscription before the change takes effect.
4. Eligibility, Minors, and Managed Profiles
4.1 Adult account holders. You must be at least eighteen (18) years of age, or the age of majority where you live, to create and hold a MatScout account in your own name.
4.2 Minors using their own accounts. A person aged thirteen (13) through seventeen (17) may use the Services only with the knowledge and consent of a parent or legal guardian, who accepts responsibility for that use and agrees to be bound by these Terms on the minor’s behalf.
4.3 Managed Profiles for children. MatScout permits a parent or legal guardian to create and administer a Managed Profile for a minor child, including a child under the age of thirteen (13), so that the child’s training and competition record can be maintained by the adult responsible for them.
If you create a Managed Profile, you represent and warrant that:
- you are the parent or legal guardian of the person the profile describes, or you have obtained the express written consent of that person’s parent or legal guardian;
- you consent, on that person’s behalf, to MatScout’s collection, storage, and processing of the information contained in the profile, as described in our Privacy Policy;
- you have the authority to upload and share images and video depicting that person, and to share that person’s information with coaches, teammates, and clubs through the Services; and
- you will supervise and remain responsible for all activity conducted through the Managed Profile.
The adult who creates a Managed Profile controls it. That adult may review, edit, export, or delete the profile and all Content associated with it at any time from within the Services.
4.4 Parental rights and revocation of consent. A parent or legal guardian may at any time review the personal information MatScout has collected about their child, request that it be deleted, and refuse to permit its further collection or use, by contacting us at privacy@matscout.com. Upon a verified request, we will delete the child’s profile and associated Content and will cease further collection.
We do not condition a child’s participation on the disclosure of more personal information than is reasonably necessary to use the Services.
4.5 Coaches, clubs, and third parties. A coach, club administrator, or other Member who creates or manages Content relating to a minor represents that they have obtained any consent required from that minor’s parent or legal guardian, including consent to upload video or images depicting that minor.
4.6 Reporting. If you believe a minor’s information has been provided to us without proper consent, contact us at privacy@matscout.com and we will investigate and take appropriate action, including deletion.
5. Account Registration and Security
To use most features, you must register for an account. You may register directly or by signing in through a supported third-party service such as Google. You agree to provide accurate, current, and complete information and to keep it up to date.
You may not maintain more than one active account for yourself, impersonate another person, or register on behalf of anyone without authorization. This does not restrict Managed Profiles created under Section 4.
You are responsible for safeguarding your login credentials and for all activity under your account. You agree not to share your password and to notify us promptly at support@matscout.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that contain inaccurate information.
6. What Is Free and What Requires a Subscription
6.1 Free features. The following features are available at no cost, do not require a subscription, and are not affected by the status of any subscription:
- match reports;
- scouting reports, both individual and team;
- practice notes;
- athlete profiles, disciplines, and promotion history;
- teams, rosters, and coach notes;
- Managed Profiles for family members;
- attaching links to third-party video services such as YouTube.
Video attached by third-party link is not hosted by MatScout, is not counted toward any subscription allowance, and remains available regardless of subscription status. Availability of third-party video is controlled by the third-party service, not by MatScout.
6.2 Paid features. Uploading and hosting video directly through MatScout requires an active paid subscription (the “Athlete Plan”). Subscription plans are metered in hours of uploaded video duration, as measured by our video infrastructure provider. Current plans, allowances, and prices are listed on our pricing page and within the Services. Plans may be offered on a monthly or annual basis. Additional hours may be made available for purchase as an add-on to an existing plan in the future.
Uploading new video requires an active subscription at the time of upload. Video uploaded during an active subscription remains subject to Section 8.
7. Billing, Renewal, and Cancellation
7.1 How you are billed. Subscriptions purchased through the MatScout website or the Android application are processed by our third-party payment processor, Stripe. By subscribing, you also agree to Stripe’s applicable terms.
Subscriptions purchased through the Apple App Store are billed by Apple, are subject to Apple’s terms and refund policies, and must be managed and cancelled through your Apple ID account settings. MatScout cannot cancel, modify, or refund an App Store subscription on your behalf.
Where a subscription is purchased through the Google Play Store, it is billed by Google and must be managed through your Google Play account, subject to Google’s terms and refund policies.
You may hold only one active video subscription at a time. If you have subscribed through one channel, the Services will direct you to manage that subscription through the same channel.
7.2 Automatic renewal. Subscriptions renew automatically at the end of each billing period — monthly or annual, as selected — at the then-current price, until cancelled. You authorize us, or the applicable app store, to charge your payment method on each renewal date.
We will provide notice of any price increase at least thirty (30) days before it takes effect, and the new price will apply only to renewals occurring after that notice period.
7.3 Cancellation. You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for; your subscription remains active until then and you will not be charged again.
To cancel a subscription billed by Stripe, use the Manage Subscription option in your account settings. To cancel a subscription billed by Apple or Google, use your app store account settings.
7.4 Refunds. Except where required by law or by the applicable app store’s policies, payments are non-refundable, including for partial billing periods and for periods in which the Services were not used. Refund requests for app store purchases must be directed to that app store.
7.5 Taxes. You are responsible for any applicable sales, use, or value-added taxes.
8. Video Retention After a Subscription Ends
This section applies only to video uploaded to and hosted by MatScout. It does not affect match reports, scouting reports, practice notes, profiles, teams, or any other Content, all of which remain fully accessible at no cost.
When a paid subscription ends, whether by cancellation, non-renewal, or failed payment, uploaded video is handled in three stages:
Stage 1 — Grace period (days 0 through 30). Uploaded video remains fully viewable to you and to anyone with whom you have shared a report. You will receive an email notifying you that your subscription has ended. Nothing is hidden or removed during this period.
Stage 2 — Dormant (day 31 through month 12). Uploaded video is hidden from playback but is not deleted. You will continue to see the video’s title and metadata. Anyone viewing a report you shared will see a “Video unavailable” notice. You will receive a second email confirming that your video is hidden but retained.
Stage 3 — Deletion (after month 12). If no active subscription has been in place for twelve (12) consecutive months, MatScout reserves the right to permanently delete the uploaded video files associated with your account. Permanent deletion is irreversible. Before deletion we will send at least two further email notices — approximately thirty (30) days before, and again shortly before deletion — each providing an opportunity to renew and preserve the footage.
Restoration. Renewing an active subscription at any point before deletion restores full access to all video instantly, with no need to re-upload.
After deletion. Reports and notes previously associated with deleted video remain intact and fully accessible. The video attachment is removed and your uploaded-hours count is reset. A returning subscriber may upload new video to those reports.
Shared reports. Playback of shared video follows the subscription status of the Member who uploaded it, not the viewer. Viewers are not separately notified when video becomes unavailable.
Keep your own copies. MatScout is a preparation system, not a backup service. You are responsible for retaining your own copies of any video you wish to preserve. To the maximum extent permitted by law, MatScout is not liable for the loss of uploaded video following the periods described above.
9. Your Content, Privacy Controls, and the License You Grant
9.1 You own your Content. You retain ownership of your Member Content. MatScout does not claim ownership of the match reports, scouting reports, practice notes, profiles, annotations, or video you create or upload.
9.2 Visibility and sharing. MatScout applies different visibility rules to different types of Content:
- Practice notes are always private to the Member who created them. They are not visible to coaches, teammates, clubs, or any other Member, and MatScout provides no mechanism to share them. This is a design decision, not a setting.
- Match reports and individual scouting reports are controlled by the Member who created them. They are private by default and become visible to others only when you choose to share them or make them public.
- Team scouting reports are visible to the coaches and members of the team for which they were created.
- Comment threads on shared video are private between the Member who shared the video and each individual recipient. If you share video with several people, each recipient sees only their own thread; you, as the owner, see all of them.
Scouting reports are protected using end-to-end encryption, so that their contents are accessible only to you and those you explicitly share them with. Because of this, we may be unable to recover the contents of an encrypted report if you lose access to it.
When you share Content with another Member, you are responsible for choosing whom you share it with, and you understand that shared Content may be viewed, and in some cases saved or reproduced, by those recipients. MatScout cannot control what a recipient does with Content you have shared with them.
Our collection and use of personal information is described in our Privacy Policy.
9.3 The license you grant us. You grant MatScout a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, encode, and display your Member Content solely as needed to operate, provide, secure, and improve the Services and to make your Member Content available to you and to the people and teams you choose to share it with.
This license exists only to run the Services for you. It does not permit us to sell your Member Content, to use it for advertising, or to display it publicly outside the Services except as you direct through the Services’ sharing features. The license ends when your Member Content is deleted, except for residual copies retained in routine backups for a limited period or as required by law.
9.4 Your responsibility for your Content. You are solely responsible for your Member Content. You represent and warrant that you own it or have all rights and permissions necessary to upload and share it — including, where it depicts or concerns other people, any consents required to do so — and that it does not infringe any third party’s rights or violate any law.
10. Acceptable Use
You agree not to:
- upload or share Content you do not have the right to use, or that infringes, defames, harasses, or violates the privacy of others;
- upload unlawful, abusive, or sexually explicit content, or any content that sexualizes, exploits, or endangers a minor;
- use the Services to stalk, harass, intimidate, or harm another person, including using scouting features to compile information about a person for a purpose unrelated to athletic preparation;
- scrape, crawl, reverse engineer, or attempt to gain unauthorized access to the Services or to other Members’ Content;
- upload malware or interfere with the operation or security of the Services;
- circumvent, or attempt to circumvent, subscription limits, metering, or access controls;
- resell or commercially exploit the Services except as expressly permitted; or
- use the Services in violation of any applicable law.
We may remove Content or suspend accounts that we believe, in our sole discretion, violate these Terms. Content that sexualizes or endangers a minor will be removed and reported to the appropriate authorities.
11. Third-Party Services
The Services rely on third-party providers, including:
- Stripe — payment processing
- Mux — video hosting, encoding, and delivery
- Cloudinary — image hosting
- Google — sign-in
- Apple App Store and Google Play — mobile distribution and, where applicable, subscription billing
- YouTube — embedded third-party video
We are not responsible for third-party services, their availability, or their content, and your use of them is governed by their own terms and policies. Interruption or discontinuation of a third-party service may affect the availability of features that depend on it.
12. Mobile Applications
If you download a MatScout mobile application, your use is also subject to the terms of the applicable app store.
Apple. These Terms are between you and MatScout, not Apple, and Apple is not responsible for the Services or their content. Apple has no obligation to furnish maintenance or support for the application. In the event the application fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim relating to the application, including product liability, regulatory compliance, or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Google. Where the application is distributed through Google Play, your use is also subject to the Google Play Terms of Service.
13. Intellectual Property
The Services and MatScout Content are protected by intellectual property laws and are owned by MatScout and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and MatScout Content for your own non-commercial use.
You may not copy, modify, distribute, sell, or create derivative works from the Services or MatScout Content except as expressly permitted. The MatScout name, logo, and marks may not be used without our written permission.
14. Feedback
If you send us feedback, comments, or suggestions about the Services, you grant MatScout the right to use them without restriction, attribution, or obligation to you. Send feedback to support@matscout.com.
15. Copyright and DMCA
We respect intellectual property rights and expect our Members to do the same.
Notice of infringement. If you believe Content on the Services infringes your copyright, send a written notice to our designated agent containing:
- your physical or electronic signature;
- identification of the copyrighted work you claim has been infringed;
- identification of the Content you claim is infringing, with enough detail for us to locate it;
- your contact information;
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-notice. If your Content was removed and you believe the removal was in error, you may submit a counter-notice to the same address containing the elements required by 17 U.S.C. § 512(g)(3).
Repeat infringers. We will terminate, in appropriate circumstances, the accounts of Members who are repeat infringers.
16. Suspension, Termination, and Account Deletion
You may stop using the Services and delete your account at any time from your account settings.
We may, in our discretion, suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if your use poses a risk to the Services or to other Members, or as otherwise permitted by law.
If your account is terminated, your right to use the Services ends immediately. Uploaded video is handled according to Section 8. We are not obligated to retain your Content after termination and may delete it in accordance with our standard practices and applicable law, except where retention is required by law.
Before you delete your account, export or download any Content you wish to keep. Deletion is permanent.
17. Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT — INCLUDING UPLOADED VIDEO — WILL ALWAYS BE AVAILABLE OR PRESERVED. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF IMPORTANT CONTENT. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
MATSCOUT DOES NOT PROVIDE MEDICAL, TRAINING, OR SAFETY ADVICE. NOTHING IN THE SERVICES SHOULD BE RELIED UPON AS A SUBSTITUTE FOR QUALIFIED COACHING OR MEDICAL SUPERVISION.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATSCOUT AND ITS OWNERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CONTENT, VIDEO, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID MATSCOUT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
19. Indemnification
You agree to indemnify and hold harmless MatScout and its owners, members, employees, and suppliers from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your Member Content, any Managed Profile you administer, your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts, except where applicable law provides otherwise.
Informal resolution first. Before filing a claim, you agree to contact us at support@matscout.com and attempt to resolve the dispute informally for at least thirty (30) days.
21. General
These Terms, together with the Privacy Policy and any additional terms you agree to for specific features, are the entire agreement between you and MatScout regarding the Services and supersede any prior agreements.
If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
